Client Engagement Terms

How CAQA AI advisory engagements are scoped, delivered, reviewed, invoiced and cancelled.

How CAQA AI engagements work

Client work at CAQA AI is performed under an agreed proposal, quote, service agreement, retainer or written scope. The scope will identify the deliverables, assumptions, client responsibilities, fees, payment terms, timelines and review process. Clients are responsible for providing accurate, complete and timely information. Work outside the agreed scope may require a variation, additional fee or revised timeline. CAQA AI is part of CAQA Groups and a Career Calling International initiative, and these terms apply to AI governance, responsible AI implementation, risk review, training and advisory engagements arranged through this website.

Proposals and acceptance

Enquiries made through this website are obligation-free. Following an initial discussion we prepare a written proposal describing the objectives, deliverables, approach, team, fees and timing. An engagement commences only when the proposal is accepted in writing or a service agreement is signed; nothing on this website constitutes an offer capable of acceptance. Where work is urgent, we may agree to commence against written instructions ahead of formal signature, in which case these terms and the proposal apply from commencement.

Fees and payment

Engagements are quoted as fixed fees, staged fees or retainers as stated in the proposal. Invoices are issued under the engagement - no payments are taken through this website - and are payable within the terms stated on the invoice. Fixed fees assume the scope, assumptions and client responsibilities in the proposal hold true; where they change, we will tell you before additional fees are incurred. Reasonable pre-agreed disbursements, such as travel for on-site work, may be charged at cost.

Client responsibilities

AI governance work depends on what we can see. Clients agree to provide accurate, complete and timely access to the documents, systems, data samples and people relevant to the scope; to nominate a contact person authorised to give instructions and approvals; and to review drafts within the agreed review windows. Delays in providing inputs or approvals may extend timelines and, where they cause material rework or standing time, may require a variation.

Review cycles and deliverables

Each deliverable includes the number of review rounds stated in the proposal; unless stated otherwise, this is two rounds of consolidated client feedback. Additional rounds, new requirements introduced after drafting, or changes of direction after approval are out of scope and will be quoted before we proceed. Deliverables are prepared for the client's internal use for the purposes of the engagement and may not be re-sold or republished without written permission.

Cancellation and postponement

Either party may end an engagement by written notice. If the client cancels, fees are payable for work performed and non-recoverable commitments made up to the effective date of cancellation. Training sessions and workshops postponed with less than two business days' notice may incur the preparation component of the fee. Where we must withdraw for reasons within our control, we will refund fees paid for work not yet performed. Nothing in these terms limits rights that apply under the Australian Consumer Law.

Confidentiality and data

Both parties keep each other's confidential information confidential and use it only for the engagement. Our handling of client material, including how AI tools are and are not used with it, is described in the Data Handling Notice and follows the standards in our Responsible AI Use Policy.

Advice, decisions and liability

Our advice is based on the information supplied by the client, the regulatory settings current at the time, and the agreed purpose of the engagement. Implementation decisions, and responsibility for outcomes determined by regulators, funding bodies and other authorities, remain with the client as set out in the AI Advisory Disclaimer. To the extent permitted by law, our liability for an engagement is limited to resupplying the relevant services or refunding the fees paid for the affected deliverable.
